2. Flat fee + optional updates (CAD)
Flat fee (required): $3,500 · $1,750 deposit on signing · balance on go-live. After go-live, Customer/owner keeps and uses the system with no monthly required — just uses it. Owner owns the server; Developer maintains. Optional update plan below (check one if wanted — not required to keep using).

3. Scope included
- ShopOps for Customer’s single shop: after flat fee, Customer/owner keeps and uses the system; owner owns the server; Developer maintains only as needed
- Modules: quoting, job pipeline, field measure/digitize, fabrication/shop, install, timeclock, VIP portal as available
- Optional public marketing pages rebranded with Customer assets
- Import of active rates + jobs from Customer CSV/spreadsheet (reasonable effort; not full history)
- Support: email/chat, business hours America/Edmonton, during pilot
4. Out of scope (unless change order)
- CNC / Flexijet / hardware
- Custom development beyond agreed setup
- Full historical data migration
- On-site travel (unless quoted separately)
5. Data & IP
- Customer Data (clients, jobs, rates, invoices) remains Customer’s
- Product (software, templates, docs) remains Vendor’s
- On termination, Customer may request export of Customer Data within 30 days
- Customer will not reverse engineer, resell, or sublicense the Product
- Vendor will not use Customer Data to sell fabrication services competing with Customer
6. Acceptable use & security
- Customer is responsible for staff passwords and access control
- No unlawful use; no loading third-party personal data without lawful basis
- Demo credentials must be changed after go-live
7. Warranty & liability (pilot)
- Software provided as-is during pilot; Vendor will use reasonable efforts to fix material bugs
- No guarantee of uninterrupted uptime during pilot
- Vendor’s total liability under this form is limited to fees paid by Customer in the prior 3 months
- Neither party is liable for indirect or consequential damages
8. Payment
E-transfer / wire to:
Deposit due on signing: $1,750 · Invoices due net 7 unless noted
Late amounts may pause access after written notice.
